TO THE MEMBERS OF THE WILDCATS FOOTBALL ASSOCIATION OF CALGARY

Introduction

This letter advises you that as the parent of a son or daughter who is currently participating in the Wildcats’ Spring, Bantam, Pee Wee or Atom football programs, you are considered a member of an incorporated Association called the “Wildcats Football Association of Calgary (the “Association”).

Notice of Meeting

The letter formally provides you with notice of the upcoming Annual General Meeting (the “Meeting”) of the Members of the Association.

The Meeting will be offered both as an in-person meeting and as a virtual, online meeting via Google Meet (insert hyperlink) from Calgary, Alberta on May 15, 2023 at 6:30 pm (local time). you may join the meeting in person, by telephone (audio only) or computer (audio and/or video) as you see fit.

Please ensure that you have previously tested your telephone, internet connection and computer, as appropriate, for technical compliance with the meeting. The Wildcats Football Association cannot provide technical support during the meeting. We have used the Google Meet technology before, and found it acceptable for conducting meetings of the Board of Directors.

Purpose of the Meeting

The Association now encompasses approximately 280 players, at five (5) different program levels. The Association was formed to better structure and operate these football programs. The Annual Meeting is being held for the following purposes:

  1.  To advise the Members of the mandate and purpose of the Association and disclose the rules and by-laws governing the Association;
  2. To (re) elect certain Directors of the Association;
  3. To consider the financial statements of the Association for the 2022 fiscal year;
  4. To consider the Reports of the Board and the various Head Coaches; and
  5. To transact such other business as may properly be brought before the Meeting or any adjustment thereof.

Recognition of the Association

The Association has been properly incorporated and formed under the laws of Alberta. The Calgary & Area Spring Football Association (the “Spring League”), and the Calgary & Area Pee Wee Football Association (the “Pee Wee League”) have recognized the Association as the entity approved to provide teams to play in the Spring, Pee Wee and Atom Leagues. The Bantam Wildcats are members of the Calgary Bantam Football Association.

Purpose of the Association

The purpose of the Association is to:

 Govern the financial and legal affairs of the teams;

  1. Provide efficient organization, structure and operations for the teams;
  2. Co-ordinate the integration of the Spring, Bantam, Pee Wee and Atom football programs;
  3. Ensure the long-term stability, viability and success of the football programs; and
  4. Ensure the orderly succession of Coaches, Directors and Officers for the football programs as members leave the Association.

Members of the Association

A member of the Association is defined under the by-laws of the Association as follows:

Subject to Article 5, a Member of the Society is any parent of a Player who is currently on the roster of the Wildcats Spring, Bantam, Pee Wee or Atom football clubs or teams and who has paid the Calgary Spring, Calgary Bantam, Calgary Pee Wee or Calgary Atom league registration fee and upon meeting whatever other requirements as may be established from time to time by the Board of Directors. For clarity, a Member includes any parent of an Atom player who was on the roster of the Wildcat Atom club and graduating to the Pee Wee team in the next Wildcat season, or any parent of a Pee Wee player who was on the roster of the Wildcat Pee Wee club and graduating to the Bantam team in the next football season, or any parent of a Bantam player who was on the roster of the Wildcat Bantam club and is eligible to return to play for the Bantam team in the next football season, or any parent of a Spring player who was on the roster of the Wildcat Spring club and is eligible to return to play for the Spring team in the next football season. For further clarity, any parent of a Bantam player who is not eligible to play for the Bantam team in the next football season because of age or scholastic grade, according to the Calgary Bantam Football Association rules and procedures, is not eligible to be a Member. Such parent ceases to be a Member of the Society on November 30th of the year of the Bantam Player’s final year of eligibility to play football in the Calgary Bantam Football Association. For further clarity, any parent of a Spring player who is not eligible to play for the Spring team in the next football season because of age or scholastic grade, according to the Calgary Spring Football Association rules and procedures, is not eligible to be a Member. Such parent ceases to be a Member of the Society on November 30th of the year of the Spring Player’s final year of eligibility to play football in the Calgary Spring Football Association.

Directors and Officers of the Association

 At the Meeting, the Members will be asked to elect certain members of the Board of Directors. The by-laws of the Association provide that the Board of Directors shall consist of a minimum of 5 and a maximum of 15 Directors, to be elected by the Members of the Association. A Director does not have to be a member.

 Each Director elected will hold office for a three (3) year term, at which time; their successor will be elected, unless the Director’s office is earlier vacated. The following table states the names of the persons continuing their tenure and the persons nominated for election as Directors and/or officers, their current position and their previous roles with the Wildcats football organization.
